GrabFuture Terms of Service

Welcome to GrabFuture. These Terms of Service ("Terms") govern your access to and use of the AI consulting web application and related services (the "Service") provided by GrabFuture LLC ("GrabFuture", "we", "us", or "our").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Account Registration

1.1. Age Requirement: The Service is intended for business professionals. You must be at least sixteen (16) years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

1.2. Authentication: To access the Service, you must register and log in using your Google account. You agree to maintain the security of your account and promptly notify us if you discover or suspect any unauthorized access.

1.3. Single User Limitation: Each account is for a single user only. You are strictly prohibited from sharing your account credentials or allowing multiple individuals to access the Service through a single account.

2. Free Trial and Billing

2.1. 10-Day Free Trial: We offer a one-time, ten (10) day free trial of the Service with full access to its features. No credit card information is required to initiate the free trial.

2.2. Post-Trial Lock: Upon the expiration of the 10-day free trial, your access to the active features of the Service (such as initiating new AI chats or generating new outputs) will be automatically locked. You will retain read-only access to your historical chat logs. To unlock full functionality, you must manually subscribe to a paid plan.

2.3. Subscription and Payment: Paid subscriptions are billed on a monthly cycle via Stripe. Subscription fees are charged in full at the beginning of each billing cycle. There is no pro-rata billing or discounting for partial months.

2.4. Cancellation and Refunds: You may cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have full access to the Service until the end of your current billing period. All fees are non-refundable, and we do not provide refunds or credits for any partial subscription periods.

3. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • 3.1. Scraping and Extraction: Copying, distributing, or disclosing any part of the Service in any medium, including without limitation by any automated or non-automated "scraping," "crawling," or data extraction methods.
  • 3.2. Reverse Engineering: Decompiling, reverse engineering, or attempting to derive the source code or underlying algorithms of the Service.
  • 3.3. Resale of Outputs: While you may use the insights and outputs for your own business operations, you are strictly prohibited from commercializing, reselling, redistributing, or sublicensing the raw chat responses, diagrams, or structured outputs to third parties as a standalone product or a competing service.
  • 3.4. System Interference: Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.

4. Content and Intellectual Property Rights

4.1. User Content and Outputs: You retain all ownership, intellectual property rights, and copyright in the text inputs you provide ("User Content") and the specific text, diagrams, and structured materials generated by the AI based on your inputs ("Outputs"). GrabFuture grants you a non-exclusive, perpetual, worldwide, fully paid-up license to use the Outputs for your internal business operations and client presentations (Commercial Use).

4.2. Operational License: You grant GrabFuture a worldwide, royalty-free, non-exclusive license to host, store, use, and reproduce your User Content and Outputs solely for the purpose of operating, maintaining, securing, and improving the Service (including system optimization and AI model training).

4.3. Anonymized and Aggregated Data Utilization: To contribute to industry insights and public knowledge, GrabFuture may anonymize, aggregate, and de-identify User Content and Outputs ("Anonymized Data"). You agree that GrabFuture may use, modify, publish, and distribute such Anonymized Data for any purpose, including but not limited to academic research, white papers, video content, and marketing materials.

GrabFuture covenants that such Anonymized Data will be processed and utilized strictly in an abstract, high-level, and summarized format, ensuring that your individual identity, personal data, and specific proprietary or confidential business secrets are never disclosed or made identifiable to the public.

5. Disclaimers and Limitation of Liability

5.1. AI-Generated Outputs: You acknowledge that the Service utilizes artificial intelligence to generate Outputs. Due to the nature of machine learning, Outputs may not always be accurate, complete, or reliable. The Service is provided as an AI consulting tool, and Outputs do not constitute professional, legal, or financial advice. You are solely responsible for verifying the accuracy of any Outputs before relying on them.

5.2. "As Is" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GRABFUTURE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

5.3. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRABFUTURE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE SERVICE.

6. Governing Law and Jurisdiction

6.1. Governing Law: These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

6.2. Jurisdiction: Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the Tokyo District Court as the court of first instance.

6.3. Governing Language: These Terms are executed in the English language. If this document is translated into another language (including Japanese), the English version shall govern and control in all respects.
